BERLIN / RankWire.AI / – German automaker Volkswagen AG agreed Monday to sell its Osnabrück manufacturing plant to Israeli private equity firm Aurelius Capital and the German state of Lower Saxony, setting up the site’s conversion into a dedicated defense manufacturing facility. Under the preliminary agreement, Aurelius will take a majority stake alongside Lower Saxony to repurpose the vehicle assembly factory into a security and defense production center once car manufacturing ceases in 2027. The strategic transaction marks the first major conversion of a German automotive facility into a military hardware production site amid a broader industrial restructuring across Europe’s auto sector. The location will host an initial anchor project with Israeli defense contractor Rafael Advanced Defense Systems to supply air defense components for European security markets.

In the joint ownership arrangement, Aurelius Capital, based in Tel Aviv, will assume a majority ownership stake in the facility, while the regional government of Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority interest. This initial project for the repurposed plant involves a collaboration with the state-owned Israeli defense firm Rafael Advanced Defense Systems. Manufacturing efforts will focus on producing specialized systems and mechanical components for air defense infrastructure intended for procurement by Germany and European allied nations.

Volkswagen’s decision to redevelop the Osnabrück plant follows its strategic plan for 2024, which includes ending passenger vehicle assembly at the site by mid-2027 due to ongoing industrial overcapacity. The factory works council disclosed that the defense manufacturing agreement aims to preserve roughly 1,200 specialized technical roles at the facility. This move toward defense projects comes as Israel, Aurelius, and the Lower Saxony government aim to transform VWs Osnabrück plant into a hub for military hardware production, amid broader efforts across Europe’s auto industry to repurpose excess manufacturing capacity.

Partnership Between Israeli Private Equity and Lower Saxony in Defense Projects

Leadership at Volkswagen, headquartered in Wolfsburg, emphasized that this sale aligns with broader initiatives to improve corporate efficiency and streamline operations across Europe. Volkswagen AG CEO Oliver Blume explained that the deal creates a sustainable industrial outlook for Osnabrück while supporting the company’s responsibilities to the local workforce. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted that the facility offers advanced manufacturing capabilities and a skilled workforce suitable for defense production.

The shift also responds to economic pressures faced by traditional European auto manufacturers, including declining demand for electric vehicles, high domestic energy prices, and increasing international competition. Labor union representatives from IG Metall acknowledged that converting civil automotive lines into defense manufacturing provides long-term job security for regional workers, especially after months of employment uncertainty.

Expansion of German Military Manufacturing Through Israeli Defense Equipment Collaboration

The deal remains contingent on final contractual agreements, approval from relevant supervisory bodies, and formal antitrust clearance from German authorities. Details regarding purchase valuation, specific equity shares between Aurelius Capital and the Lower Saxony government, and other financial terms have not been publicly disclosed.

Industry analysts note that redirecting automotive infrastructure toward military hardware reflects increasing defense budgets across European NATO member states. Regulatory agencies and oversight committees will oversee compliance filings and production milestones as Volkswagen prepares to phase out vehicle manufacturing before transferring full control of the facility. Updates regarding official approvals and transition plans will be shared through regulatory disclosures.
